Investment Opportunity

The investor provides total financing of CHF 1,000,000.

• CHF 100,000 (10% of the investment) is allocated to the share capital of the Swiss public limited company (SA).
• This amount represents a 50% ownership stake in the company and is not repayable.
• CHF 900,000 (90% of the investment) is repaid to the investor through dividend distributions over a period of 3 to 4 years.

Return During the First 3 Years

• Total investment: CHF 1,000,000
• Dividends received over 3 years: CHF 900,000
• Share capital retained: CHF 100,000

The investor therefore recovers the equivalent of 90% of the initial investment through dividend payments during the first three years, which are used to repay the CHF 900,000 shareholder loan, while still retaining ownership of the company's shares.

After the First 3 Years

At the end of the third year:

• The investor remains a shareholder of the company.
• The investor retains the 50% ownership stake in the share capital.
• The investor continues to receive an annual dividend corresponding to 10% of the company's CHF 900,000 net profit after taxes, equivalent to CHF 90,000 per year, subject to the company's financial performance.
• This annual dividend entitlement remains in place for as long as the investor maintains ownership of the shares.
